If the appointees are not Directors at Large, they will not serve on the Board of Directors. Note 2: The President of ASNT Certification Services LLC and the Immediate Past Chair of ASNT serve ex officio (by virtue of their positions) as voting members of the ASNT Board of Directors. The Executive Director serves ex officio as a nonvoting member of the ASNT Board of Directors. Note 3: Beginning 20 June 2022, the Board will transition to electing 5 Directors at Large annually resulting in 15 Directors at Large beginning in 2024. Note 4: Advisory Groups are new bodies appointed by the Chair of the Board. They do not have any governance or program responsibilities they only provide advice and counsel to the Officers and/or Directors. Note 5: ASNT Certification Services LLC is a subsidiary corporation owned and operated by ASNT Inc. It manages ASNT’s certification and accreditation programs and is governed by an independent Board of Managers which is appointed by ASNT’s Board of Directors. Note 6: ASNT India Private Ltd. Co. is a for-profit private limited company incorporated in India in 2022. It is wholly owned by ASNT Inc. Note 7: ASNT Foundation is a 501(c)(3) incorporated in Ohio in 2022 for the purpose of funding workforce development programs, scholarships, grants, and research in nondestructive testing. READYREFERENCE |OVERVIEW CODE OF ETHICS FOR MEMBERS OF THE AMERICAN SOCIETY FOR NONDESTRUCTIVE TESTING* 1.0 PURPOSE To establish the Code of Ethics that is expected of all members of the American Society for Nondestructive Testing (ASNT) and is a condition of membership. 2.0 SCOPE This policy applies to all members of ASNT, irrespective of their membership type, the role they fulfill, or where they live or work. 3.0 REFERENCES 3.1. ASNT Bylaws 3.2. ASNT Policy G-14, Use of the ASNT Name and Marks 4.0 RESPONSIBILITY In spirit and in word, this Code of Ethics shall guide the actions of the members of ASNT. It is the duty of all members to conduct themselves in accordance with the following precepts: 4.1. Uphold at all times the reputation of the Society and the dignity of membership therein. 4.2. Pursue their professional discipline and activities in a spirit of fairness to all concerned—employer, employees, customers, and competitors—consistent with the high ideals of personal honor and integrity. 4.3. Refrain from associating themselves with any enterprise that would use their name or that of the Society in any manner countenancing misrepresentation. 4.4. Avoid damage directly or indirectly to the professional reputation, prospects, or business of another member of the Society. 4.5. Advertise only in a professional manner to avoid using improper or questionable methods of soliciting professional work, and to decline any connection with improper patronage. 4.6. Inform clients or employers of any business affiliations, interests, or connections which might influence their fair judgment. 4.7. Treat as confidential their knowledge of any business affairs or technical information of employers, clients, or customers, and to make no disclosure of such information without their express consent. 4.8. Accept financial or other compensation for a particular service from one source only, except with the full knowledge and consent of all interested parties. 4.9. Perform their work in the highest professional manner, protecting the life, safety, and health of their associates and of the general public. 4.10. Contribute to the advancement of nondestructive testing by the interchange of information and experience with others, taking full advantage of the mediums provided by the Society- symposia, conventions, and the press. 4.11. Encourage and provide opportunity for professional development and advancement of their employees or those under their supervision. 4.12. Consider their membership in the Society as affording a distinct opportunity to apply their special talents for the service of mankind. 4.13. Refrain from any statements or acts which constitute hostile or offensive behavior and any forms of intimidation or harassment of any kind by and between members of ASNT whether sexual, racial, ethnic, or religious in origin. 4.14. For employer Level III personnel (those certified by the employer and not ASNT certificate holders), that neither the “ASNT” name/acronym nor the ASNT logo shall be displayed on the employer certificates for any reason.
